LICENCE AGREEMENT

PLEASE READ THIS LICENCE AGREEMENT ("LICENCE") CAREFULLY BEFORE DOWNLOADING AND USING THE FONT (AS DEFINED BELOW). BY DOWNLOADING AND USING THE FONT, YOU ARE IRREVOCABLY AGREEING TO BE BOUND BY THE TERMS OF THIS LICENCE.

BEFORE DOWNLOADING AND USING THE FONT, PLEASE INDICATE YOUR AGREEMENT TO BE BOUND BY THE TERMS OF THIS LICENCE BY CLICKING THE "I AGREE" BUTTON. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENCE, DO NOT DOWNLOAD AND USE THE FONT AND CLICK “DISAGREE”.

IMPORTANT NOTE:  THE FONT IS TO BE USED STRICTLY ONLY IN ACCORDANCE WITH THE TERMS OF THIS LICENCE.

1. General

A. 勁揪體 (the “Font”), whether on disk, print or electronic documentation, in read only memory, or any other media or in any other form, is licensed to you on a personal, revocable, non-exclusive and non-transferable basis, and is for use only in accordance with the terms of this Licence.

B. The Font is copyrighted. Kit Da Studio Company Limited (“Kit Da Studio”) retains full legal and exclusive ownership of the Font and all associated intellectual property rights, and all rights not expressly granted to you are hereby reserved by Kit Da Studio.

2. Uses and Restrictions

A. Uses. Subject to the terms of this Licence, you may use the Font solely in accordance with the terms of this Licence.

B. Permitted Number of Devices. Where you are an individual, you may install the Font on a maximum of 10 Devices. Where you are an organisation, you may install the Font on a maximum of 10 Devices, and such installed Font may be used by a maximum of 5 persons within your organisation. For the purposes of this Clause, the term “Device” is defined as any desktop computer, laptop, phone, tablet, or any other electronic or handheld device.

C. Permitted Place of Use. You may install and/or use the Font anywhere worldwide.

D. Permitted Uses. Subject to the restrictions set out in Clause 2E below, you may use the Font to make any product (including but not limited to documents, materials, publications, advertisements and/or broadcasts), whether for profit or otherwise. Where you are an organisation, this includes any use of the Font to make any product (including but not limited to documents, materials, publications, advertisements and/or broadcasts), whether for profit or otherwise, for your clients and customers in the ordinary course of your business.

E. Restrictions. You may not use the Font for the following purposes:

(a) make any product (including but not limited to documents, materials, publications, advertisements and/or broadcasts) for profit where the main selling point of the product is the Font (for example, stamp sets which sell any single character of the Font, any combination of characters of the Font, or the entire Font are prohibited);

(b) embed the Font in any application, website, software, document, file, ebook, game, camera, printer, television, desktop computer, laptop, phone, tablet, or any other electronic or handheld device;

(for the purposes of this Clause, the term “embed” means to include the Font in any application, website, software, document, file, game, camera, printer, television, desktop computer, laptop, phone, tablet, or any other electronic or handheld device, such that it can be used by a person who receives, downloads and/or accesses such application, website, software, document, file, game, camera, printer, television, desktop computer, laptop, phone, tablet, or any other electronic or handheld device)

(c) rent, lease, lend, trade, transfer, sell, sub-license or otherwise redistribute the Font in any unauthorised way, whether as a standalone application, as a bundle or otherwise;

(d) copy (except as expressly permitted by this Licence), decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, modify, create derivative works of the Font or any part thereof;

(e) use the Font in contravention of any applicable laws, including the local laws of the country or region in which you reside or in which you download or use the Font;

(f) use the Font for any illegal purpose or activity or to promote or advertise any illegal purpose or activity;

(g) use the Font in any way that is fraudulent, tortious, abusive, defamatory, inaccurate, obscene, indecent, degrading, offensive, objectionable or sexually explicit;

(h) use the Font in any way that intentionally or unintentionally harasses, annoys, threatens or intimidates any other individual or corporate;

(i) use the Font in any way that infringes the rights of any person or entity, including their copyright, trade mark or other intellectual property rights, or contractual rights;

(j) use the Font to post, transmit, or otherwise make available any unsolicited or unauthorised advertising, promotional materials, junk mails, spam, chain letters or any other form of solicitation;

(k) use the Font to introduce any malware, virus or other harmful software program that intentionally or unintentionally damages or interferes with the operation of any computer system or device;

(l) permit any third party, whether or not affiliated to yourself, to use the Font without the express written permission of Kit Da Studio; or

(m) use the Font for any purpose that is not permitted by the terms of this Licence.

3. Termination

A. This Licence shall commence immediately upon your installation or use of the Font. Your rights under this Licence will terminate automatically or cease to be effective without notice if you fail to comply with any term(s) of this Licence.

B. Upon the termination of this Licence, you shall cease all use of the Font and destroy all copies, full or partial, of the Font.

C. Clauses 2E, and 4 through 9 of this Licence shall survive any termination of this Licence.

4. Disclaimer of Warranties

A. You expressly acknowledge and agree that, to the maximum extent permitted by applicable law, use of the Font is at your sole risk. You shall be solely responsible for any damage caused to your computer system or device, loss of data, or any other resultant damage or loss, arising from your downloading and usage of the Font.

B. To the maximum extent permitted by applicable law, the Font is provided “as is” and “as available”, with all faults and without warranty of any kind.

C Kit Da Studio hereby disclaims all warranties and conditions with respect to the Font, whether express, implied or statutory, including, but not limited to, the implied warranties and/or conditions of completeness, availability, functionality, merchantability, satisfactory quality, freedom from defects, security performance, reliability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third party rights.

D Kit Da Studio does not warrant against interference with your enjoyment of the Font, that the functions contained in the Font will meet your requirements, that the operation of the Font will be uninterrupted or error-free, that the Font will be compatible or work with any third party software, applications or third party services, or that defects in the Font will be corrected. Installation of this Font may affect the availability and usability of third party software, applications or third party services.

E You further acknowledge that the Font is not intended or suitable for use in situations or environments where the failure or time delays of, or errors or inaccuracies in the content, data or information provided by, the Font could lead to death, personal injury, or severe physical or environmental damage, including without limitation the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, life support or weapons systems.

F No oral or written information or advice given by Kit Da Studio or its representatives shall create a warranty.

5. Limitation of Liability

A. To the maximum extent not prohibited by applicable law, in no event shall Kit Da Studio be liable for personal injury, or any incidental, special, indirect or consequential damages whatsoever, including, without limitation, damages for loss of profits, corruption or loss of data, failure to transmit or receive any data or information, business interruption or any other commercial damages or losses, arising out of or related to your use or inability to use the Font or any third party software, applications, or services in conjunction with the Font, however caused.

6. Indemnification

You hereby agree to indemnify Kit Da Studio, its directors, officers, employees and agents (the “Indemnified Parties” and each, an “Indemnified Party”), and to keep each of the Indemnified Parties fully indemnified on demand from and against all liabilities, costs, expenses, damages and losses, legal costs (calculated on a full indemnity basis) and all other reasonable professional costs (including costs of defence of claims, suits or proceedings brought by third parties) and expenses suffered or incurred by any of the Indemnified Parties arising out of or in connection with your use of the Font, your breach of any of the terms of this Licence, and/or as a result of your violation of any applicable laws or regulations.

7. Amendments and Variations

A. Kit Da Studio has the sole discretion to amend or vary the terms of this Licence from time to time.

B You hereby irrevocably agree that Kit Da Studio may from time to time vary the terms of this Licence and you also irrevocably agree to be bound by the most updated version of the terms of this Licence.

8. Complete Agreement

A. This Licence constitutes the entire agreement between you and Kit Da Studio relating to the use of the Font licensed hereunder and supersedes all prior or contemporaneous understandings regarding such subject matter.

9. Unenforceability

A. If for any reason a court of competent jurisdiction finds any provision or portion of the terms of this Licence to be unenforceable, the remainder of the terms of this Licence will continue in full force and effect.

10. Waiver

A. Any waiver of the terms of this Licence will only be effective if in writing and signed by Kit Da Studio or its authorised representative.

11. Governing Law

A. This Licence is governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.
